Terms of Service

These Terms of Service (the “Terms”) form a legally binding agreement between you (“you” or “User”) and Gratitude Galaxy(“Gratitude Galaxy,” “we,” “us,” or “our”) governing your access to and use of the Gratitude Galaxy mobile application (the “App”), our website at gratitudegalaxy.space, and any related services we provide (collectively, the “Service”).

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS-ACTION WAIVER IN SECTION 16 THAT AFFECT YOUR LEGAL RIGHTS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD, INSTALL, OR USE THE SERVICE.

1. Acceptance of Terms

By downloading, installing, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an entity, you represent that you have authority to bind that entity, and “you” refers to that entity.

2. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction, whichever is higher) to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. The Service is not intended for, and we do not knowingly collect information from, children under 13.

3. License to use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the App on a compatible iOS device that you own or control, solely for your personal, non-commercial use. All rights not expressly granted are reserved.

The Service is licensed, not sold. Apple Inc. is a third-party beneficiary of these Terms with respect to your license to use the App, and Apple has the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

4. Your account

Some features require you to create an account using Sign in with Apple or email and password. You agree to (a) provide accurate, current, and complete information; (b) keep your credentials secure and confidential; (c) be responsible for all activity that occurs under your account; and (d) notify us promptly of any unauthorized use. We may suspend or terminate accounts that we reasonably believe are being used in violation of these Terms.

5. Acceptable use

You agree not to, and not to attempt to:

use the Service for any unlawful, fraudulent, harmful, or harassing purpose;
upload or transmit any content that is illegal, infringing, defamatory, obscene, hateful, or that violates the rights of others;
reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying ideas of the Service except to the extent that applicable law expressly prohibits such restriction;
copy, modify, distribute, sell, rent, sublicense, or create derivative works of the Service;
circumvent, disable, or interfere with any security, authentication, or rate-limiting feature;
use any automated means (bots, scrapers) to access the Service or extract data;
impersonate any person, entity, or affiliation, or misrepresent your identity;
use the Service to develop a competing product or service;
interfere with or disrupt the integrity, performance, or operation of the Service;
introduce malware, viruses, or other malicious code;
use the Service in any manner that violates applicable export-control or sanctions laws.

6. User content

The Service lets you create journal entries, gratitude notes, magic moments, galaxy names, intentions, and other content (collectively, “User Content”). You retain all ownership rights in your User Content.

You grant Gratitude Galaxy a worldwide, royalty-free, non-exclusive, limited license to host, store, transmit, back up, display, and process your User Content solely for the purpose of providing the Service to you (e.g., to sync between your devices and render your journal in the App). This license terminates when you delete the User Content or your account, subject to short retention periods described in our Privacy Policy.

You represent and warrant that you own or have all necessary rights to your User Content, and that it does not violate any law, contract, or third-party right.

7. Intellectual property

The Service, including the App, website, designs, source code, illustrations, copy, the “Gratitude Galaxy” name and logo, and all related intellectual property rights, are owned by us or our licensors and are protected by copyright, trademark, and other laws. Except for the limited license in Section 3, nothing in these Terms transfers any right, title, or interest in or to the Service to you.

You may submit feedback, suggestions, or ideas about the Service (“Feedback”). You agree that Feedback is non-confidential and that we may use it for any purpose without compensation or attribution.

8. Purchases, billing, and refunds

The App may be offered as a one-time paid purchase, with optional in-App purchases. All purchases are processed by Apple through your iTunes/App Store account in accordance with the Apple Media Services Terms and Conditions. Prices are displayed in the App Store before purchase and may change at any time before you complete a transaction.

Refunds are handled by Apple and are subject to Apple’s refund policy. To request a refund, contact Apple Support at reportaproblem.apple.com. Where required by law (e.g., the EU 14-day right of withdrawal), you have additional cancellation rights — contact us to exercise them.

9. Third-party services

The Service integrates with or relies on third-party services (e.g., Apple Sign-In, Apple Notifications, the App Store, Supabase, Vercel). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services and disclaim all liability arising from them.

10. Updates and changes to the Service

We may update, modify, suspend, or discontinue any portion of the Service at any time, with or without notice. We may release updates that you must install to continue using the App. We are not liable to you or any third party for any modification, suspension, or discontinuation, except to the extent required by applicable consumer law.

11. Termination

You may stop using the Service at any time and may delete your account from the in-App Profile screen. We may suspend or terminate your access immediately, with or without notice, if we reasonably believe you have breached these Terms, created legal exposure for us, or used the Service in a manner that harms us or another user. Upon termination, your right to use the Service ceases. Sections that by their nature should survive (e.g., 6, 7, 12–18) will survive termination.

12. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that defects will be corrected. You assume all responsibility for any loss of data and acknowledge that Gratitude Galaxy is a journaling tool, not a substitute for professional medical, mental-health, financial, or legal advice. If you are experiencing a mental-health emergency, please contact local emergency services or a qualified professional.

Some jurisdictions do not allow the exclusion of implied warranties; in such jurisdictions the foregoing exclusions apply only to the maximum extent permitted by law.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GRATITUDE GALAXY OR ITS OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE. Our aggregate liability for any claims arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to liability or (b) USD $50.

These limitations apply regardless of the form of action (contract, tort, statute, or otherwise) and even if Gratitude Galaxy has been advised of the possibility of such damages. Some jurisdictions do not allow these limitations; in those jurisdictions our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Gratitude Galaxy and its officers, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms or of any law or third-party right; or (d) any dispute between you and another user.

15. Governing law

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of California, USA, excluding its conflict-of-laws principles, and the federal laws of the United States, without regard to the United Nations Convention on Contracts for the International Sale of Goods. If you are a consumer in the European Union, the United Kingdom, or another jurisdiction with mandatory consumer-protection laws, you benefit from any non-waivable provisions of the law of your country of residence.

16. Dispute resolution; binding arbitration; class waiver

Please read this section carefully — it affects your legal rights.

16.1 Informal resolution

Before filing a claim, you agree to first contact us at legal@gratitudegalaxy.space and attempt in good faith to resolve the dispute informally for at least 30 days.

16.2 Binding arbitration

If the dispute is not resolved, you and Gratitude Galaxy agree to resolve any claim, dispute, or controversy arising out of or relating to these Terms or the Service by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration will be conducted in English in San Francisco, California (or by videoconference at your request). Judgment on the award may be entered in any court of competent jurisdiction.

16.3 Class-action waiver

YOU AND GRATITUDE GALAXY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims or preside over any form of representative proceeding.

16.4 Exceptions and opt-out

You may bring an individual claim in small-claims court if it qualifies. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing legal@gratitudegalaxy.space with the subject “Arbitration Opt-Out” and your account email. If the class waiver is found unenforceable, the entire arbitration agreement will be null and void for that dispute.

17. Apple-specific terms

You acknowledge that these Terms are between you and Gratitude Galaxy, not with Apple. Apple is not responsible for the App or its content. To the maximum extent permitted by law, Apple has no warranty obligations with respect to the App, and Apple is not responsible for addressing any claims by you or a third party relating to the App or your possession or use of the App, including product liability, regulatory, or intellectual-property claims. Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right (and will be deemed to have accepted the right) to enforce these Terms against you.

18. General

Entire agreement: these Terms and the Privacy Policy constitute the entire agreement between you and Gratitude Galaxy regarding the Service.
Severability: if any provision is held unenforceable, the remaining provisions remain in full effect.
No waiver: failure to enforce any provision is not a waiver of our right to do so later.
Assignment: you may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Notices: we may give notice through the App, by email to the address associated with your account, or by posting on the website.
Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control.
Headings: section headings are for convenience only and do not affect interpretation.
Language: these Terms are provided in English. Translations are for convenience only; the English version controls.

19. Changes to these Terms

We may modify these Terms from time to time. If we make material changes, we will notify you through the App or by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Service and may delete your account.
